David K. Goldberg joined the Atlanta office of Blue Sky Law in August 2022 as a partner with nearly 30 years of focused experience in tax and business law.
David graduated summa cum laude from West Virginia University with a BA in Political Science. He received his law degree from the University of North Carolina School of Law and went on to obtain an advanced degree in tax law from New York University School of Law.
With admittance to practice in the States of Georgia, West Virginia and Ohio, David is a member of the Atlanta Bar Association, State Bar of Georgia, and West Virginia State Bar, tax and business sections.
Legal Background:
David is a transactional attorney with a broad corporate and tax practice. David advises privately held corporations, partnerships, limited liability companies, nonprofit organizations and other types of business entities on mergers and acquisitions, federal taxation, executive compensation and general business matters.
He advises clients on mergers and acquisitions, working on both buy-side and sell-side transactions involving the purchase and sale of equity and assets, and often incorporating sophisticated rollover structures designed to defer tax liability.
David counsels companies through their entire life cycle, including advising on the formation and choice of business entity, preparing and negotiating shareholder and limited liability company operating agreements, employment agreements and other essential business agreements, as well as corporate governance matters and business succession planning.
David regularly advises clients on a variety of tax-sensitive business transactions, including reorganizations, mergers, spin-offs and other acquisitions and dispositions.

Personal Background
David is originally from Charleston, West Virginia, but Atlanta has been home since 1996. When he isn’t practicing law, David is spending time with his wife, two teenage sons and two standard poodles. In addition to family time, David enjoys hiking, watching WVU sports and trying to play bass.
